the various management and operating services that the Group currently owns, manages and manages the Guam Hotel itself. From the effective date, the manager is responsible for the management and operation of the Guam Hotel and finds that the Guam Hotel is operated by the use of access to the global reservation system and loyal programs managed and operated by the manager (or his associates). As part of the hotel management agreement, APHI Guam retains its rights as a hotel owner on some important management, financial and strategic decisions. The structure chosen often depends on the size of the investor/hotelier`s investments and whether land ownership is an important issue. If the hotelier prefers to minimize the obligations and responsibilities associated with Demland`s ownership, an administrative agreement is a good choice. The owner should restrict the operator`s ability to operate in other hotels that compete for the same business as the owner`s hotel. If this restriction is included, the operator will endeavour to limit it to hotels located in a defined area. The management agreement should allow the owner to limit the operator`s ability to generate certain types of expenses that may result in increased revenue and hence a higher base charge, but may not correspond to higher profits, such as promotions.B. Good practices are designed to agree on an operating budget with expected benefits that the owner can check from time to time. The owner intends to negotiate the terms of the agreement and strike a certain balance by granting rights and remediation to the owner if the hotel business presents financial problems. The flexibility to balance a hotel management agreement may depend on the hotel`s appeal to the operator – if it is a prestigious hotel, in a good position, the operator will negotiate instead.

The owner should have the right to terminate the contract if the operator is defaulted without any liability. It may reserve the right to terminate the contract without cause, but must expect the operator to demand payment of a termination fee corresponding to its expected performance over the duration of the contract that has not expired. There are a number of structures for owning and operating a hotel.
